Loris AI, Inc. AI Feature Terms of Use

These terms of use (“Terms”) are an integral part of Loris’ master service agreement (the “Agreement”) between you and the Loris entity executing the Agreement (“Loris”). These Terms regulate certain additional services and/or features (including, artificial intelligence features (all together “AI Features”)) offered and/or used by Loris in the context of the Solution. All defined terms in these Terms shall have the same meaning as in the Agreement. References to “You” in these Terms include the legal entity on whose behalf you are acting and you represent that you have the authority to accept these Terms on the organization’s behalf. To the extent of any conflict or inconsistency between the Agreement and these Terms, these Terms shall prevail. Your violation of these Terms is a violation of the Agreement.

We reserve the right, at our sole discretion, to revise, change and update these Terms at any time. The amended Terms shall be effective 3 days after publication of the new version of these Terms on the Solution, website or notified to you by other means. Your continued use of Loris' Solution thereafter constitutes your consent to such changes, and you agree to be bound by them, therefore, we ask you to check back periodically to review the most updated Terms.

For the avoidance of doubt, Loris reserves the right to modify, restrict or terminate these Terms, or its use of the AI Features and/or Azure OpenAI, at any time and at its sole discretion, for any reason, with or without notice and without liability to you.

Specific terms of Additional Services

1. Microsoft Azure OpenAI Services ("Azure OpenAI").

1.1. Loris uses Azure OpenAI and other Artificial Intelligence (AI) vendors and features in the context of Loris' Solution. You hereby understand and acknowledge that Loris may need to share some information with Azure OpenAI. Azure OpenAI stated in the "data, privacy and security information for OpenAI service" that the input data will not be shared with OpenAI, and will not be used to improve OpenAI models or Azure OpenAI service. You acknowledge and agree that the use of Azure OpenAI is subject to Microsoft's applicable terms and policies, including, without limitation, the Azure OpenAI terms, the code of conduct for Azure OpenAI, the transparency note for Azure OpenAI, the Microsoft Privacy Statement and any other document published by Azure OpenAI from time to time. We encourage you to become familiar with such terms and policies.

1.2. You understand and acknowledge that Azure OpenAI and the AI Features are provided on an "AS-IS" and "AS-AVAILABLE" basis, without warranties of any kind, and that we make no representation or warranty regarding the accuracy, reliability, usefulness, integrity, lawfulness, title or infringement, functionality or intellectual property rights of, or relating to, the text, data, output, or suitability of Azure OpenAI and associated AI Features for your particular needs. You assume all risks associated with the use of the AI Features. You acknowledge that any text or output provided by Azure OpenAI may not be unique, and that other companies or customers may generate the same or similar text or output via AI Features and that the output may derive from a variety of sources. Loris recommends you to carefully test, review, and vet the suggestions, insights and recommendations before you use and/or implement it, as you would do with any suggestions, insights and recommendations that incorporates material which was not originates by you.

1.3. Notwithstanding anything to the contrary in these Terms or the Agreement, you hereby grant Loris a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, process, reproduce, distribute, adapt, transform, prepare derivative works of, display, and perform text (including, your information and the output) in order to: (i) provide and maintain the Loris' Solution (including, the AI Features), (ii) comply with applicable law, (iii) enforce its (and Azure OpenAI's) respective policies, (iv) create an aggregated and de-identified version of the input and output, and (v) improve its products and Solution.
